kernel 3.2 panic

I recently installed Ubuntu on a free partition (dual boot with win7) and upgraded it to precise pangolin, it's just amazing (without the errors).
but Ubuntu 12.04 can't boot with the 3.2 kernel, it says "kernel panic" -unable to mount root
however if I select kernel 2.6 ... 64 in grub it boots almost normally (but it is doing a disk check on every startup, a bit annoying)

my hardware:
Packard bell easy note,
Intel Xeon dual core CPU ×64
160 GB HDD (as far as I know samsung.)

How about the live CD forPrecise, does it boot.
I suggest you report a bug

^^ I found a Ubuntu 8.04 cd, installed it and upgraded it to 10.04 and then to 12.04.
those older versions worked great, so my computer can run Ubuntu.
the ubuntu partition is formatted as EXT2, because I found a EXT2 file system driver for windows, to be sure windows can read the ubuntu U: drive I formatted it as ETX2.
