There's nothing wrong with the CD. The live CD can run in Windows as there is a new installer that can make Ubuntu run side by side with Windows without reformatting.
If you want to upgrade the easy way, just boot into hardy and run:
sudo apt-get update
sudo apt-get upgrade
sudo apt-get dist-upgrade

Alternatively to the command line, you can run update manager and do the same thing.

Can you help with this problem?
